Corporate governance

Responsible Management

GRI 3-3 Material Topic: Corporate Governance and Integrity | GRI 2-23, 2-24, 2-28

Adopting internationally recognized corporate governance practices is one of our management pillars. We build a consistent and responsible model that permeates all stages of our activities and aligns with our ESG policies and goals to generate value for all stakeholders.

In our operations, we seek to work within the highest ethical standards and to relate with all stakeholders, prioritizing transparency, respect and equity. It is part of our commitment to maintain effective communication with the many audiences and prioritize the business's sustainability and perpetuity.

Our Board of Directors has 71% of independent members (reflects the position on 12/31/2022, to see the current composition see the IR website), contributing to expanding horizons and a plural vision of the business. In our operations, we seek to work within the highest ethical standards and to relate with all stakeholders, prioritizing transparency, respect and equity.

In 2022, we reviewed our ESG policy in search of best practices. Today, we have an internal audit that responds to the Audit Committee, which, in turn, reports directly to the Board of Directors. To this end, we rely on the work of Committees (especially the ESG and Audit Committees), which contribute to identifying the main actions to be adopted and have the mission of making these issues reach the Board of Directors. The ESG Committee is an Executive Committee, not having a charter approved by the Board of Directors nor the presence of Directors. The ESG policy guides the work of this Committee.

At the same time, we seek to join forces with the segment and society, participating in entities such as the Brazilian Association of Real Estate Developers (ABRAINC), Civil Construction Industry Union (Sinduscon), Securities and Exchange Commission (CVM), Secovi (Union of Companies of Purchase, Sale and Administration of Real Estate) and Seconci (Social Service of Civil Construction of the State of São Paulo). We participated in the revisions of Technical Standards with the Brazilian Association of Technical Standards (ABNT).
